Asset Reconstruction Company (India) Limited (ARCIL) was incorporated in February 2002 and is engaged in the business of acquiring stressed assets from banks and financial institutions and resolving them to maximize recoveries and improve asset value. The company received its Certificate of Registration from the Reserve Bank of India (RBI) in August 2003 and is recognized as the first asset reconstruction company incorporated in India. ARCIL operates across Corporate Loans, SME & Other Loans, and Retail Loans, where it acquires individual credit accounts as well as portfolios of stressed secured and unsecured assets. Depending on the nature of the assets, the company uses resolution, restructuring, enforcement, settlement and collection strategies. Its income is primarily generated through fee income and investment income. The company has built relationships with banks, financial institutions, NBFCs and housing finance companies and has expanded its capabilities in retail stressed assets through legal expertise, collection infrastructure and data analytics. As of March 31, 2026, ARCIL had 13 offices across 12 states and 206 permanent employees, supported by registered valuers, collection agents and empanelled lawyers.
Established Industry Position: ARCIL has been operating in the asset reconstruction industry for more than two decades and was the first ARC incorporated in India, giving it significant experience in handling stressed assets.
Wide Acquisition Capabilities: The company can acquire both individual credit accounts and portfolios covering secured and unsecured stressed assets, allowing it to pursue opportunities across different types of loans.
Strong Institutional Network: ARCIL has established connections with banks, financial institutions, NBFCs and housing finance companies, which are important sources of stressed assets for the company's business.
Multiple Resolution Strategies: The company can use restructuring, enforcement, settlement, collection and other resolution methods depending on the characteristics of the acquired assets, providing flexibility in its recovery approach.
Retail Segment Expansion: ARCIL has been increasing its focus on retail stressed assets, giving the company an additional growth avenue beyond its traditional corporate and SME-focused operations.
Entire Issue is OFS: The IPO consists entirely of an Offer for Sale, so the company will not receive any portion of the IPO proceeds. This means the issue does not provide fresh equity capital to the company.
Significant Increase in Borrowings: Total borrowings increased from Rs. 305.93 crore in FY2025 to Rs. 1,205.50 crore in FY2026, which represents a substantial rise in the company's borrowing levels.
Decline in Profitability Margins: Although profit increased in FY2026, PAT margin declined from 57.00% in FY2025 to 51.95%, while EBITDA margin decreased from 82.47% to 78.21%.
Recovery Uncertainty: The company's business involves acquiring stressed assets, and the eventual recovery value and timing can vary depending on the underlying borrower, collateral, legal proceedings and resolution process.
Regulatory Environment: The asset reconstruction business operates within a regulated financial environment, and changes in RBI regulations or other applicable laws could affect the company's operations and resolution processes.
